1. Acceptance of Terms

By accessing or using the Specira AI website at www.specira.ai and any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on this page with an updated effective date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

2. Description of Service

Specira AI provides an AI-powered requirements intelligence platform designed to help software project managers, business analysts, and development teams identify gaps, ambiguities, and contradictions in requirements documents before development begins. The Service may include, but is not limited to, the website, application programming interfaces (APIs), documentation, and related tools.

The Service is currently in early access. Features, availability, and pricing are subject to change without notice during this period.

3. Eligibility and Account Registration

You must be at least 16 years of age to use the Service. By using the Service, you represent that you meet this requirement.

Certain features of the Service may require you to create an account. When you create an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable federal, provincial, or international law or regulation
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, its servers, or any databases connected to the Service
• Use automated systems (including bots, scrapers, or crawlers) to access the Service in a manner that sends more requests than a human could reasonably produce in the same period
• Transmit any material that is defamatory, obscene, or otherwise objectionable
• Impersonate or attempt to impersonate Specira AI, a Specira employee, another user, or any other person or entity
• Use the Service to develop a competing product or service

5. Intellectual Property

The Service and its original content, features, and functionality are owned by Specira AI and are protected by international copyright, trademark, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

You retain ownership of any content you submit through the Service (such as requirements documents). By submitting content, you grant Specira AI a limited, non-exclusive license to process, analyze, and store that content solely for the purpose of providing the Service to you.

6. Your Data

We take the privacy and security of your data seriously. Our use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You retain all rights to the documents and data you upload to the Service. We will not share your content with third parties except as described in our Privacy Policy or as necessary to provide the Service.

7. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. Specira AI does not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.

The analysis and recommendations generated by the Service are intended to assist human decision-making and should not be treated as a substitute for professional judgment. You are solely responsible for evaluating and acting on any output from the Service.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Specira AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use of or inability to use the Service
• Any unauthorized access to or use of our servers or any personal information stored therein
• Any errors, inaccuracies, or omissions in the Service's output
• Any interruption or cessation of transmission to or from the Service

In no event shall Specira AI's total liability to you for all claims exceed the amount you paid to Specira AI during the twelve (12) months preceding the event giving rise to such liability, or one hundred Canadian dollars (CAD $100), whichever is greater.

9. Indemnification

You agree to indemnify, defend, and hold harmless Specira AI, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.

10. Termination

We may terminate or suspend your access to the Service at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us at info@specira.ai. Upon termination, we will delete your account data in accordance with our Privacy Policy and applicable data retention requirements.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively by the courts of the Province of Quebec, District of Montreal, and you consent to the personal jurisdiction of such courts.

12. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Specira AI regarding your use of the Service. These Terms supersede any prior agreements or understandings, whether written or oral, relating to the subject matter herein.
